Board President-Elect

Purpose:
The registered Members of NCFR are the moral and legal owners of NCFR in whose interests the Board acts.  The purpose of the Board, on behalf of the members of NCFR, is to see to it that NCFR (a) achieves appropriate results for appropriate persons at an appropriate cost, and (b) avoids unacceptable actions and situations.

The President shall assure that the Board behaves consistently with its own rules and those legitimately imposed upon it from outside the organization.

  1. The Board meeting discussion content shall consist of only those issues which, according to Board policy, clearly belong to the Board to decide, not to the Executive Director.

  2. The Board deliberation shall be fair, open, and thorough but also timely, orderly, and kept to the point.  Fair is defined here as based only on written, specified expectations or limitations and the latest version of Roberts’ Rules of Order.

The authority of the President consists in making decisions that fall within topics covered by Board policies on Governance Process and Board-Executive Director Linkage, except where the Board specifically delegates portions of this authority to others. The President is authorized to use any reasonable interpretation of the provisions in these policies.

  1. The President is empowered to chair Board meetings, with all the commonly accepted power of that position (for example, ruling, recognizing).

  2. The President has no authority to make decisions about policies created by the Board within ENDS and Executive Limitations policy areas.  Therefore, the President has no unilateral authority to supervise or direct the Executive Director.

  3. The President may represent the Board to outside parties in announcing Board-stated positions and in stating Presidential decisions and interpretations within the area delegated to her or him.

  4. The President may delegate this authority but remains accountable for its use.

  5. The responsibility and authority of the President will devolve upon the President-elect if the President becomes unable to fulfill the role as described herein for reasons including, but not limited to, the President’s long-term illness and treatment.  If the President is unable or unwilling to initiate such a transition, the Board may by majority (two-thirds) vote authorize the exercise of such responsibility and authority by the President-elect for as long as the Board deems necessary and appropriate.  The President and President-elect will be recused from such voting.”

Time Commitment:
Except as otherwise stated herein, NCFR Board Members serve a three-year term.  The President, the President-elect, Association of Councils President-Elect, and Student/New Professional will serve two-year terms.  Board members attend two face-to-face Board meetings per year, along with regular conference call meetings and email exchanges.  Each Board member is expected to be an active participant and attend all board sessions.
